Apptrix End User License Agreement (EULA)

This End User License Agreement (“Agreement”) is a legal contract between you (“User”, “you”, or “your”) and Apptrix Ltd (“Company”, “we”, “our”, or “us”) governing your use of the Apptrix software application (the “App”) and related cloud-based services (collectively, the “Services”).
By downloading, installing, accessing, or using the App or Services, you agree to be bound by this Agreement. If you do not agree, do not install or use the App or Services.
1. License Grant
We grant you a limited, non-exclusive, non-transferable, revocable license to:
* download, install, and use the App on any number of compatible devices that you own or control; and
* access and use the Services for your personal or internal business purposes,
subject to your compliance with this Agreement.
This license is granted to you personally and may not be shared, sold, or sublicensed to others.
2. Free and Paid Use
* Free Use: You may use certain features of the App and Services free of charge. Free users may remain anonymous and are not required to create an account.
* Licensed (Paid) Use: Access to premium or advanced features requires a paid license or subscription (“Paid License”). Paid Licenses may be used on multiple devices owned or controlled by you, consistent with our account or authentication policies.
* No Transfer: Paid Licenses are non-transferable and may not be resold or shared with others.
3. Cloud Services
Certain features of the App rely on cloud-based infrastructure. By using these features, you consent to the transmission and storage of data through our servers and third-party providers, as described in our Privacy Policy.
We will make reasonable efforts to ensure the availability and reliability of our cloud services, but we do not guarantee uninterrupted or error-free access.
4. User Feedback
You may choose to provide comments, suggestions, or other feedback (“Feedback”) about the App or Services. By submitting Feedback, you grant us a worldwide, perpetual, irrevocable, royalty-free license to use, modify, and incorporate your Feedback into our products and services without compensation to you.
If you provide Feedback that includes personal information, such information will be handled in accordance with our Privacy Policy.
5. Restrictions
You agree not to:
* copy, modify, or distribute the App or any part of the Services except as expressly allowed under this Agreement;
* reverse engineer, decompile, or disassemble the App;
* remove or obscure any proprietary notices or labels;
* use the App or Services for unlawful purposes or to infringe any third-party rights;
* attempt to access accounts, data, or systems of other users or our providers without authorization.
6. Intellectual Property
All rights, title, and interest in and to the App and Services (including software, content, trademarks, and other intellectual property) remain the exclusive property of Apptrix Ltd and its licensors.
This Agreement does not grant you any rights other than the limited license expressly set forth herein.
7. Termination
This Agreement is effective until terminated. We may suspend or terminate your access to the App or Services at any time, without notice, if you violate this Agreement. Upon termination, you must cease all use of the App and delete all copies in your possession.
8. Disclaimer of Warranties
The App and Services are provided “AS IS” and “AS AVAILABLE,” without warranties of any kind, express or implied.
We do not warrant that the App or Services will meet your requirements, operate without interruption, or be error-free.
9. Limitation of Liability
To the fullest extent permitted by law, Apptrix Ltd shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of your use of or inability to use the App or Services.
In no event shall our total liability exceed the amount you paid for your Paid License (if any) during the twelve (12) months preceding the claim.
10. Privacy
Use of the App and Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the App or Services, you consent to the practices described therein.
11. Updates and Modifications
We may update the App or modify this Agreement at any time. Continued use of the App or Services after such updates constitutes your acceptance of the revised terms.
12. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Scotland, without regard to conflict of law principles.
